Terms & Conditions of Service
Ryan Handy Studio Ltd
1. Estimates & Bookings
1.1. All estimates provided are based on the initial brief and are valid for 30 days.
1.2. Creative fees are fixed; however, production expenses (including but not limited to equipment hire, travel, and crew fees) are estimated and may be subject to minor fluctuations.
1.3. The final invoice will reflect actual costs incurred and will be substantiated by receipts where applicable. Any significant changes to its scope will be discussed with the Client prior to being incurred.
2. Payment Terms
2.1. Invoicing: A final invoice will be issued upon completion of the shoot or delivery of assets, whichever is sooner.
2.2. Due Date: All payments are due within 14 days of the invoice date.
2.3. New Clients: For first-time bookings or projects exceeding £5,000, the Photographer reserves the right to request a commencement fee or specific payment schedule, to be agreed upon in writing prior to the shoot.
2.4. Late Payments: The Photographer reserves the right to charge interest on any overdue balances in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
3. Usage, Licensing & Copyright
3.1. Copyright: In accordance with the Copyright, Designs and Patents Act 1988, the copyright of all images remains the sole property of Ryan Handy Studio Ltd in perpetuity.
3.2. Standard Usage License: Unless otherwise agreed in writing, the standard license granted covers global rights across all digital platforms (including website, email, organic and paid social media, blogs), editorial press, and in-store Visual Merchandising (VM) in perpetuity.
Exclusions: This license strictly excludes Above-The-Line (ATL) Advertising (e.g., Billboards, TV, Cinema, Paid Print Media), 3rd party sub-licensing or resale, and AI/Machine Learning use as defined in Section 3.4.
3.3. License Activation: The Usage License is granted to the Client only upon receipt of full and final payment. Commercial use of assets prior to final payment is strictly prohibited. Final high-resolution assets will be released only once the final balance has been settled.
3.4. AI & Machine Learning Prohibitions: The Client shall not, and shall not permit any third party to, use, upload, or process any images or assets provided by the Photographer for the purpose of training, developing, or improving artificial intelligence (AI) systems, machine learning models, or generative algorithms. This includes, but is not limited to:
- The use of assets for "image-to-image" generation or "style-transfer" references.
- The creation of synthetic imagery intended to mimic the Photographer’s unique aesthetic.
- The training of models to replicate the Client’s proprietary brand environments captured within the imagery.
4. Travel, Accommodation & Subsistence
4.1. Travel: Business mileage is billed at the standard HMRC rate (currently 45p per mile). All other travel-related costs (parking, tolls, congestion charges, public transport) will be re-billed at cost.
4.2. Subsistence: For projects involving overnight travel or full-day location work, the Client shall provide suitable on-site accommodation and meals for the Photographer and any agreed crew. Where these are not provided directly, a daily subsistence allowance (per diem) will be charged.
5. Cancellations & Postponements
5.1. In the event of a cancellation or postponement by the Client within 48 hours of the scheduled shoot start, 50% of the creative fee plus any non-refundable expenses incurred (e.g., equipment hire, crew fees) will be payable.
6. Creative Direction & Site Logistics
6.1. Representation: The Client is responsible for providing a representative at the shoot to sign off on creative direction. In the absence of a representative, the Photographer’s creative judgement shall be final.
6.2. Styling & Prep: It is the Client’s responsibility to ensure that all subjects and spaces are styled and ready for photography at the scheduled time. Delays caused by lack of preparation may result in additional hourly charges.
6.3. Re-shoots: Re-shoots requested after the event due to a change in creative direction or lack of preparation by the Client will be billed as a new project.
7. Liability & Insurance
7.1. The Photographer maintains professional Public Liability Insurance. However, the Client is responsible for ensuring the safety of the location.
7.2. The Photographer’s entire liability for any claim, whether in contract or tort, shall be limited to the total fee paid by the Client for the specific project.
8. Governing Law
8.1. These terms shall be governed by and construed in accordance with the laws of England and Wales.
